Terms of use
The use of https://adsecurity.com/ (hereinafter referred to as “Website”) by accessing the Website and/or performing any active actions to use the Website’s functionality implicate and integrate the acceptance of these Terms of use and will be considered within legal rights, proof of knowledge of these on the part of the person using the Website (hereinafter referred to as “User” or “You”). In the event that you do not agree with all of these conditions, you should not use the Website.
This Website is managed by Innovation Technology Incubator GmbH, Heinz-Nixdorf-Straße 6, 74172 Neckarsulm, Germany (hereinafter referred to as “Adsecurity”). These Terms of use are governed by the laws of Germany. In the event of a dispute that cannot be settled in an amicable way, the District Court of Stuttgart shall be the competent venue for resolving such dispute.
The Website’s aim is to provide the ability to request automated monitoring services from Adsecurity, as stipulated on the Website.
You understand and agree that the Website might provide more information, but that any descriptive information regarding Adsecurity’s services on the Website shall not be considered to contain any legally binding statements and/or obligations on behalf of Adsecurity.
Access to the Website
Adsecurity can interrupt the functionality of the Website to carry out any repair works, maintenance and/or improvements that it considers necessary, without any prior notification of the User, and by agreeing to these Terms of use the User agrees that such interruptions shall not be grounds for any claims, monetary or otherwise. Adsecurity may modify or interrupt access to the Website temporarily or permanently.
User Responsibility
Adsecurity will not be held responsible for any losses or damages suffered by the User due to the User not following these Terms of use in any way. User is obliged to not use the Website and any services of Adsecurity improperly, negligently or maliciously, and to abide by all applicable laws in respective country, respect the rights of Adsecurity and any third parties, including the rights to brand names, patents, copyright and any other commercial, intellectual or industrial property rights. Adsecurity reserves the right to hold User responsible in full accordance with the applicable law, as well as the right to request any damages caused by User’s malicious or negligent actions.
Moreover, you recognize and accept that the use of the Website and Adsecurity’s services is not permitted for the purposes other than explicitly provided for by Adsecurity or that arise from the Website itself.
You are solely responsible for your conduct, the data provided to us and your communications with us and others.
If you communicate to Adsecurity that you are acting on behalf of any company, you hereby guarantee that you are fully and legally allowed to perform actions and take responsibility on behalf of such subject. Adsecurity has no obligation to verify your affiliation and/or connection with such subject, and in the event the subject later claims it never intended to communicate with Adsecurity and/or request services, you shall be solely responsible for resolving such disputes without Adsecurity’s involvement. In the event legal proceedings are initiated against Adsecurity based on the data and/or false representations you provided to us, as well as due to your breach of your other obligations hereunder, you undertake to compensate all losses and damages to Adsecurity, including attorney fees, no later than 10 (Ten) days after receiving a request from us by email or otherwise.
You acknowledge that Adsecurity has no obligation to monitor any information that is provided by you and that we are not responsible for the accuracy, completeness, appropriateness, safety or legality of any data, information or content you may receive, except when directly stipulated otherwise in the applicable legislation.
You may not act in a way that affects the stability, availability, functionality of the Website and/or any of our services.
You may not violate the applicable laws in any way, to infringe the intellectual property rights of others.
You warrant that materials and information provided to Adsecurity (including but not limited to Keywords) does not violate any third party’s intellectual property rights or any applicable laws and regulations.
You shall act in full compliance with our guidelines, if any.
You understand that Adsecurity may disclose business, technical or financial information relating to its business (hereinafter referred to as «Proprietary Information»). Proprietary Information includes non-public information regarding features, functionality and performance of the Website, Services. You agree: (i) to take all precautions to protect such Proprietary Information, and (ii) not to use or divulge to any third person any such Proprietary Information. Adsecurity agrees that the foregoing shall not apply with respect to any information after five (5) years following the disclosure thereof or any information that you can document (a) is or becomes generally available to the public, or (b) was in its possession or known prior to receipt from Adsecurity, or (c) was rightfully disclosed to it without restriction by a third party, or (d) was independently developed without use of any Proprietary Information of Adsecurity or (e) is required to be disclosed by law.
You hereby fully and unconditionally understand and agree that your breach of these Terms may cause irreparable harm to Adsecurity, and that in the event such breach takes place, you shall provide compensation in the amount Adsecurity sees fit, including after calculating all damages caused by your breach, and if the calculations are impossible to provide and/or if your breach caused loss of future profit and/or tarnished our brand, you shall pay compensation no later than 5 (Five) business days after receiving the request for compensation, in the amount Adsecurity requested.
By providing us with your email address, you agree to receive all required notices electronically, to that email address. It is your responsibility to keep contact information correct and up-to-date.
Responsibilities and services of Adsecurity
The Website may provide you with an opportunity to request Adsecurity’s services, including requesting a demo of such services. Services may include:
– monitoring and tracking contextual advertising across search engines, isolating fraud based on parameters such as keywords, geography and frequency;
– logging, filtering and prioritizing of identified fraud;
– providing reports based on results of monitoring.
In the event you require Adsecurity’s services, you have to fill in a small form on the Website and contact us as provided on the Website.
The cost of Services is provided on the Website and/or shall be stated in an invoice* from Adsecurity. By paying an invoice you agree with the cost of Services.
*Any Taxes levied on either Party shall be borne by the respective Party, in accordance with the applicable tax laws in the Territory. Cost of services due to Adsecurity under these Terms of use shall be exclusive of VAT. If VAT is applicable, such applicable VAT shall be borne by the User. The cost of services paid by the User to Adsecurity shall be made free and clear of, and without deduction of VAT. If a reverse-charge mechanism applies, or if the User needs to withhold VAT in the country where it is VAT registered, the user shall provide VAT number to Adsecurity and liable to account for and to pay such VAT to the relevant tax authorities. All payments to be made by the User to Adsecurity under these Terms of use shall be paid without set-off, counterclaim or deduction, unless strictly required by applicable law, for example, because of a legal requirement to withhold any taxes.
Adsecurity does not guarantee your satisfaction with the Services, as well as does not state that the Services shall fit particular business purpose, as well as does not provide any other representations and warranties, except if explicitly stated in these Terms otherwise.
Adsecurity doesn’t warrant that any certain amount of fraud cases will be defined.
User understands and agrees that information on the Website regarding the Services, their quality and other similar characteristics does not constitute a guarantee that such quality and/or characteristics shall be met and maintained.
The User also assumes sole responsibility for any consequences, damages or actions that can derive from accessing the Website and/or using the Services.
Website, Adsecurity’s services and access to the Website are provided on the “as is” basis, and Adsecurity shall not bear any responsibility for any discrepancy between the User’s expectations of the Services and the Services as such.
Rights of Intellectual and Industrial Property
On the Website and/or Services, the contents and rights of intellectual property, programming and web designs are protected, and any reproduction, communication, disclosure and distribution of them without prior express written consent by Adsecurity must be sought. Likewise, all the logos that appear on the Website, belong to Adsecurityor respective third parties, therefore their reproduction or distribution is prohibited under any means without express written consent.
Price of the access to the Website
Access to the Website (within free trial) is provided free of charge subject to other sections of these Terms of use. Price/cost of Services shall be defined on the Website and/or otherwise communicated to you.
Regarding Users’ use of the Website and Services
Users must be of full legal age with full legal capacity to use the Website and Services.
Adsecurity cannot control Users’ use of the Website. It therefore does not warrant that the Website and Services are used in accordance with applicable law or these Terms of use. It is up to the User to comply with these rules, abstaining from using the Website and Services for unlawful purposes or in a way which is contrary to, or infringes, the rights and interests of Adsecurity or third party rights holders. In addition, unless Adsecurity has made a system expressly intended for that purpose available to Users, Users must not obtain or attempt to obtain any type of content on the Website or via the Services, including, without limitation, text, graphics, images. Specifically, Adsecurity forbids any downloads copies of content made by a User unless specifically allowed by Adsecurity. Adsecurity accepts no liability for any loss or damage of any kind which may arise from use by Users of the Website and/or Services and the contents offered on the Website. The Website and Services must not be used by the User to intentionally engage in illegal conduct, to knowingly create, store or disseminate any illegal content, to knowingly infringe copyright and/or intellectual property rights.
